Please read these Terms of Service ("Terms") carefully before using the BitMatch mobile application ("App") operated by BitMatch, Inc. ("BitMatch," "we," "us," or "our"). By accessing or using the App, you agree to be bound by these Terms. If you do not agree to all of the Terms, do not access or use the App.

1. Acceptance Of Terms

By creating an account or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. We reserve the right to modify these Terms at any time. Your continued use of the App following any changes constitutes acceptance of the revised Terms. We will notify you of material changes through the App or via email.

2. Eligibility

You must be at least thirteen (13) years of age to use the App. If you are between the ages of 13 and 18 (or the age of legal majority in your jurisdiction), you may only use the App with the consent of a parent or legal guardian who agrees to be bound by these Terms. By using the App, you represent and warrant that you meet these eligibility requirements. We reserve the right to request verification of age at any time and to terminate accounts that do not comply.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to (a) provide accurate, current, and complete information during registration; (b) maintain and promptly update your account information; (c) accept all risks of unauthorized access to your account; and (d) immediately notify BitMatch of any unauthorized use of your account. You may not transfer or assign your account to any third party. You are solely responsible for all activity that occurs under your account.

4. User Content License

You retain all ownership rights in the content you submit, post, or display through the App ("User Content"), including but not limited to photographs, reviews, ratings, comments, and profile information. By submitting User Content to the App, you grant BitMatch a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the operation and promotion of the App. This license exists only for as long as your User Content remains on the App. You represent and warrant that you own or have the necessary rights to grant this license and that your User Content does not infringe upon the intellectual property rights of any third party.

5. Prohibited Conduct

You agree not to use the App to:

(a) Post, transmit, or share content that constitutes hate speech, threatens, harasses, bullies, intimidates, or promotes violence against any individual or group based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or age;

(b) Engage in harassment, stalking, or unwanted contact with other users, including repeated messaging after being asked to stop;

(d) Impersonate any person or entity, or falsely represent your affiliation with any person or entity, including creating fake accounts or misrepresenting your identity;

(e) Post sexually explicit, pornographic, or obscene content, including in profile photos, food posts, or messages;

(f) Upload content that contains viruses, malware, or any harmful code;

(g) Attempt to gain unauthorized access to other users' accounts or any portion of the App's systems or networks;

(h) Use automated scripts, bots, or other tools to access the App, scrape data, or manipulate any feature;

(i) Engage in any activity that violates applicable local, state, national, or international law.

Violation of these terms may result in immediate suspension or termination of your account, at our sole discretion, without prior notice.

6. Taste Matching &Amp; Messaging

The App provides taste-based matching features that connect users based on their food preferences, dining habits, and restaurant activity. You acknowledge that: (a) taste match scores and recommendations are generated algorithmically and do not guarantee compatibility; (b) you are solely responsible for your interactions with other users, both within and outside the App; (c) BitMatch does not conduct background checks on users; (d) you should exercise caution and good judgment when communicating with or meeting other users in person. When using messaging features, you agree to communicate respectfully and to refrain from sending unsolicited explicit content, threats, or abusive messages.

7. Restaurant Ratings &Amp; Reviews

You may submit ratings and reviews of restaurants and food establishments through the App. You agree that all ratings and reviews will be (a) based on your genuine, firsthand experience; (b) honest, accurate, and not misleading; and (c) free from conflicts of interest. You shall not (i) submit fake or manipulated reviews; (ii) offer or accept compensation in exchange for reviews; (iii) coordinate with others to artificially inflate or deflate a restaurant's rating; or (iv) use reviews to harass or defame restaurant owners, staff, or other users. BitMatch reserves the right to remove any review that violates these guidelines and to suspend or terminate the accounts of repeat offenders.

8. Ai Food Analysis Disclaimer

The App includes artificial intelligence features that analyze food photographs to provide estimated nutritional information, ingredient identification, and meal categorization. These AI-generated results are estimates only and are provided for informational and entertainment purposes. They are NOT medical advice, dietary counseling, or nutritional guidance. BitMatch does not guarantee the accuracy, completeness, or reliability of any AI-generated analysis. You should not rely on these estimates for managing food allergies, medical conditions, dietary restrictions, or any health-related decisions. Always consult a qualified healthcare provider or registered dietitian for medical or dietary advice. BitMatch expressly disclaims all liability arising from your reliance on AI-generated food analysis.

9. Intellectual Property

The App, including but not limited to its design, logos, trademarks, service marks, trade names, algorithms, matching technology, user interface, and all associated intellectual property (collectively, "BitMatch IP"), is the exclusive property of BitMatch, Inc. and is protected by United States and international intellectual property laws. You may not copy, modify, distribute, reverse engineer, decompile, or create derivative works based on any BitMatch IP without our prior written consent. All rights not expressly granted herein are reserved by BitMatch.

10. Termination

We may suspend or terminate your account and access to the App at any time, with or without cause, and with or without notice, including but not limited to cases where we reasonably believe you have violated these Terms. You may terminate your account at any time through the App settings. Upon termination, your license to use the App will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, and limitations of liability.

11. Disclaimers

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BITMATCH DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BITMATCH DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU USE THE APP AT YOUR OWN RISK.

12. Limitation Of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BITMATCH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE APP; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE APP; (C) ANY USER CONTENT OBTAINED FROM THE APP; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT OR TRANSMISSIONS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO BITMATCH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

13. Governing Law &Amp; Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the App shall first be subject to good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware. You agree to waive any right to a jury trial or to participate in a class action.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and BitMatch regarding the use of the App and supersede all prior agreements and understandings.
